Terms of Service

1. Acceptance of Terms

By accessing or using the DriftGentic platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

DriftGentic provides schema drift detection and AI agent observability infrastructure. The Service includes:

• –API endpoints for logging agent runs and tool call events
• –Schema validation against registry-defined tool contracts
• –Drift detection, alerting, and incident tracking
• –A dashboard for viewing runs, metrics, and usage history
• –A public schema registry for community tool schemas
• –Async operation tracking for long-running agent tasks
• –Team management and organization controls

3. Account Registration

You must create an account to access the dashboard. You are responsible for maintaining the confidentiality of your credentials and API keys. You are responsible for all activity that occurs under your account. Notify us immediately at support@driftgentic.com if you suspect unauthorized access.

AI agents may autonomously create organizations on your behalf via the onboarding API. You retain full responsibility for any organization created using an API key you hold or distribute.

4. Acceptable Use

You agree not to use the Service to:

• –Submit data that violates applicable law or the rights of any third party
• –Attempt to reverse engineer, probe, or compromise the platform infrastructure
• –Generate excessive API traffic intended to degrade service for others
• –Circumvent rate limits, quotas, or authentication mechanisms
• –Submit malicious payloads, including code injection attempts
• –Resell or white-label the Service without a written agreement with DriftGentic
• –Submit personal health, financial, or government-issued identifier data to run payloads without an appropriate data processing agreement

We reserve the right to suspend or terminate accounts that violate these provisions without notice.

5. Plans, Credits, and Billing

5.1 Subscription Plans

The Service is available on Free, Pro, Team, and Business tiers. Each tier includes a monthly run quota and access to specific features as described on the pricing page. Plan limits reset at the start of each billing cycle.

5.2 Credits

Credits are consumed when your AI agents call the validation API. Credits can be purchased in packs and do not expire. Credits are non-refundable except as required by applicable consumer protection law.

5.3 Payment

Subscriptions are billed monthly in advance. All payments are processed by Stripe. By providing payment information, you authorize DriftGentic to charge the applicable fees to your payment method. Failed payments will result in a grace period as described in your plan details, after which your account may be downgraded or suspended.

5.4 Refunds

Subscription fees are non-refundable except at our sole discretion. If you believe a charge was made in error, contact us within 30 days of the charge.

6. Your Data

You retain ownership of all data you submit to the Service. By submitting data, you grant DriftGentic a limited, non-exclusive license to store, process, and display that data to operate the Service for you.

You are solely responsible for ensuring that any personal data submitted through agent run payloads is handled in compliance with applicable privacy law. Do not submit sensitive personal data (health records, financial account numbers, government IDs) in run payloads.

7. Schema Registry Contributions

By submitting a schema to the public registry, you grant DriftGentic and all users of the Service a perpetual, irrevocable, worldwide, royalty-free license to use, reference, validate against, and distribute that schema as part of the Service.

You represent that you have the right to contribute the schema and that it does not infringe any third-party intellectual property rights. DriftGentic may review, reject, or remove contributed schemas at its discretion.

8. Service Availability and SLAs

We aim for high availability but do not guarantee uninterrupted access. The Free tier carries no uptime commitments. Pro, Team, and Business tier SLAs, if applicable, are defined in separate written agreements.

We reserve the right to perform maintenance, apply security patches, or modify the Service with or without advance notice.

9. Intellectual Property

All software, documentation, designs, and trademarks associated with DriftGentic are the intellectual property of DriftGentic or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Limitation of Liability

To the maximum extent permitted by law, DriftGentic's total liability for any claim arising out of or relating to the Service shall not exceed the fees you paid in the three months preceding the claim.

In no event shall DriftGentic be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that schema validation results are complete or accurate for all use cases.

12. Termination

You may close your account at any time via the Settings page or by contacting us. Upon closure, your data will be retained for 90 days before deletion, during which you may request an export.

We may suspend or terminate your account immediately for violations of these Terms, non-payment, or if we determine your use poses a security or legal risk to the platform or its users.

13. Changes to These Terms

We may update these Terms from time to time. We will notify account holders of material changes via email or dashboard notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
